The short answer
What passed to whom when Shiv Nadar stepped back? The answer requires two dates and several offices. Roshni Nadar Malhotra’s chairmanship, C Vijayakumar’s executive role and the founder’s later advisory position were distinct parts of the transition.

Executive succession
Shiv leaves executive and director office; C Vijayakumar becomes CEO and MD.
Promoter-company gifts
Family gift deeds concern Vama Delhi and HCL Corporation interests.
A listed-company chair is a specific corporate office
HCL Technologies, now branded HCLTech, is the listed technology-services company. HCL Corporation is a promoter-company organisation with a different function. Before 2020 Roshni Nadar Malhotra’s HCL Corporation leadership was often shortened in headlines to HCL chief executive. That shorthand can incorrectly suggest that she already held the listed company’s operational CEO office.
Her listed-company directorship began on 29 July 2013. By the chair transition she had board experience and had served as vice-chairperson. A board appointment, a promoter-company position and an operating-company management role confer different responsibilities. Keeping the company name attached to each title is the first step toward understanding the succession rather than treating all HCL offices as interchangeable.
July 2020 changed the chair but retained executive continuity
On 17 July 2020 the board appointed Roshni chairperson in place of Shiv Nadar, who wished to step down from that position. She was a non-executive director. The annual report and contemporary reporting record that Shiv continued as managing director with the designation of chief strategy officer. C Vijayakumar remained chief executive of the technology company.
This arrangement divided oversight and executive responsibilities across three people. It did not instantly remove the founder from management, and it did not install his daughter as CEO. The distinction matters for attribution: board-level direction can influence a company substantially, while operational execution and formal executive responsibilities remain with the designated management. A change at the top is not always a complete transfer of every power.
July 2021 completed a different executive change
A disclosure dated 20 July 2021 records Shiv Nadar’s resignation as managing director and director effective at the close of business on 19 July. Vijayakumar, already president and CEO, became managing director from 20 July with the designation CEO and managing director. The original appointment was for five years, subject to required approvals. These dates should not be merged into the earlier chair announcement.
The company also conferred the title Chairman Emeritus and Strategic Advisor to the Board on Shiv. An emeritus title recognises an earlier contribution, while an advisory appointment allows continuing counsel. Neither is identical to remaining a statutory director or managing director. His experience and family influence could continue without the old executive office continuing under a different public label.
Ownership succession followed another legal path in 2025
The March 2025 disclosure concerned gift deeds transferring Shiv’s 47 percent shareholdings in Vama Sundari Investments (Delhi) and HCL Corporation to Roshni. These were promoter entities that held interests in the listed company. The filing explicitly states that HCL Technologies was not a party to the agreements. A gift at the promoter-company level is not a direct transfer of the same percentage of listed shares.
The stated aim was continuity of family ownership and control. That development adds another layer to succession, but it does not change the dates on which a board office or executive appointment began. Share ownership, control through an intermediary and daily management are related without being equivalent. The transaction therefore belongs after, and analytically apart from, the 2020–2021 leadership sequence.
Family philanthropy and corporate CSR also remain separate
Shiv Nadar Foundation operates educational initiatives including VidyaGyan, which began at Bulandshahr in 2009. Roshni’s trusteeship and educational responsibilities are important parts of her wider career. HCLFoundation, established in 2011 as HCLTech’s corporate-social-responsibility arm, is a different institution. A family trustee’s role should not be treated as ownership of every project funded by the listed company.
Similarly, chairing a corporate CSR committee and serving a philanthropic foundation can involve different funding, governance and accountability arrangements. These distinctions help readers follow where a programme sits and who is responsible for it. They also prevent philanthropic prominence from being used as an automatic measure of operating-company performance or as a substitute for examining corporate governance.
The 2026 record shows continuity with explicit limits
The annual report and current facts page checked on 23 October 2026 identify Roshni as non-executive, non-independent chairperson, Vijayakumar as CEO and managing director, and Shiv as chairman emeritus and strategic adviser. Non-independent is a meaningful classification for a chair connected to the promoter family. It should not be replaced with a vague claim that all leadership is external or independent.
The history answers a practical governance question: continuity came through staged changes in oversight, executive office, advice and ownership. It was neither a single retirement announcement nor proof that the founder’s influence vanished. The continuing test is whether boards and executives discharge their respective responsibilities to the company and its stakeholders, with the relevant offices and relationships made visible.
